 Senior Corporate Governance Counsel

We are looking for a Corporate Governance Counsel to help strengthen corporate governance across the Group. The role is of mid-level seniority, with room for learning and development.

In this role, you will work closely with the Head Legal Governance and the Governance teams in Switzerland and Spain. You will help shape governance standards, support legal entity management, and improve key governance processes across an international group.

What You Will Do 

  • Assist the Company Secretary and Assistant Company Secretary in the scheduling, preparation and running of the meetings of the Board of Directors, prepare the minutes, manage the sharing of information according to internal practices and regulations, manage secretariat formalities (notary, filing, registers etc..).
  • Provide governance advice relative to the governance of legal entities, including newly established entities, acquired entities, divestitures, joint ventures and in the context of re-organizations and assist in the review of governance documents, including Articles of Association, Organization Rules, and Competency Rules.
  • Advise on signature authority and support the development of related policies and processes.
  • Create and maintain templates for governance-related documentation and improve key governance workflows and support and drive governance projects and AI-based process improvements.
  • Maintain document management and SharePoint structures and ensure proper archiving and draft legal memos, prepare presentations, and deliver training to internal stakeholders. Draft powers of attorney and support notarial and registration processes.
  • Work with colleagues across functions and jurisdictions to deliver practical governance solutions and assist in the establishment of standards and processes to ensure a coordinated and efficient governance of all legal entities within the Group.
  • Participate in the execution of strategic projects as they relate to legal entities and governance.

What You Bring

  • A minimum of 5 years of corporate governance experience in Spain.
  • Experience in establishing standards and processes across a group of legal entities incorporated in different jurisdictions.
  • You write clearly, work in a structured way, and turn complex topics into practical solutions.
  • Team player personality with strong collaborative skills, an eye for details and pragmatism. You value simplicity over complexity. You can be relied upon for your discretion and efficiency. You are eager to continuously learn and develop and welcome feedback and guidance.
  • You are confident using Microsoft Excel, PowerPoint, and Word, and you are comfortable working with AI tools.
  • You are fluent in English and Spanish.
